要 旨：
關於具有律師資格者而本於律師身分辦理法律事務者，即為執行律師職務，則有律師法第
11 條之規定之適用，但法人僱用之員工，如具律師資格並受委任擔任訴訟代理人，主管
機關則應依具體情形審認之

按律師法第 20 條所稱「辦理法律事務」係指就具體個案分析判斷事
實及應如何適用法律等提供法律意見或代為法律行為而言；擔任法律
顧問、提供法律諮詢及受託代撰訴訟書狀自亦包括在內。而辦理法律
事務既屬律師之執業範圍，則民眾申請公司名稱如係將以辦理法律事
務為範疇，應有違反「公司名稱及業務預查審核準則」第 12 條第 2
款之虞。惟有無違反相關法規之規定，仍應就具體個案情節予以審認
之。
