有關廠商負責人病危想解約時履保金之發還? - 土木

我在公家機關服務
最近遇到一個難題
有個勞務開口契約已決標尚未開工
廠商是負責人一個人獨資開的丙級營造有限公司,除了工人就是老婆和兒子幫忙
最近負責人重病昏迷不起,無人可接管公司營運和履約
所以老婆提出解約,並以負責人重病昏迷做為不可抗力因素
想以非歸咎於廠商之責來要回150幾萬的履保金及避免被停權
想請問各位大大,這種情形可以算是不可抗力 非歸咎於廠商嗎?
我該怎麼做才不會有違法和圖利廠商之嫌?
