協助科技業留才,政院再釋新利多。金管會今(6)日將預告,本月起,經主管機關同意
,上市櫃公司發給單一員工的認股權憑證與限制型股票,不論有償、無償,都可排除限額
規定,形同優秀員工可無上限取得企業激勵股票。
企業針對單一員工發出限制型股票或認股權憑證,在國外非常流行,例如蘋果執行長庫克
,就曾獲配100萬股限制型股票單位,可在十年內分兩次領取,而蘋果也善用這項工具,
挖來頂級人才。
經濟部昨天表示,會在最短時間內設立審查要點,確認哪些產業、哪些工作類型的人可作
為實施對象。
相關官員也說,考量大陸為扶植面板、半導體產業,不惜對本土企業大舉挖角,「經濟部
會儘可能幫企業的忙」。
行政院上周一公布「經濟體質強化措施」,為了推動產業升級轉型,政院宣示,要進一步
放寬員工取得認股權憑證與限制型股票限制,協助企業留才、攬才。經跨部會協調後,金
管會今天將火速預告鬆綁措施,協助企業抵禦彼岸對手挖角兼刨根。
金管會官員解釋,依照現行規定,上市櫃公司發給單一員工的認股權憑證與限制型股票,
不得超過總發行股數的1%;其中,員工可無償取得或折價取得的股票,不得超過總發行股
數的千分之3。
官員說,未來只要經中央目的事業主管機關專案核准,將可排除兩項限額規定,意即,企
業可依市場行情、及對「人才」評斷的價值,核給優秀員工一定數量股票,與企業一同打
拚。不過,企業實施員工分紅前,仍需經過股東會同意。
值得注意的是,金管會本次修改「發行人募集與發行有價證券處理準則」時,也一併放寬
,員工取得限制型股票超過五年,可不計入限額計算。
由此可讓企業每隔一段時間,就可「清出」更多配股空間,讓公司在限額內靈活實施獎酬
工具。
