This SERVICES AGREEMENT FOR FRAUD ACTION SOLUTIONS (the “Agreement”) is
made as of the latest date of signature below (the “Effective Date”) by and
between [VAR LEGAL ENTITY] (“[[VENDOR]]”), and [CUSTOMER LEGAL ENTITY], a

services.

WHEREAS, Customer desires to receive, and [VENDOR] wishes to provide Customer
with, the Fraud Action Service (“FAS”)(as defined below) and certain
professional services in connection with the FAS and in accordance with the
terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the foregoing premises and the mutual
representations set forth herein, and other good and valuable consideration,
the receipt and adequacy of which are hereby acknowledged, [VENDOR] and
Customer, intending to be legally bound, hereby agree as follows:
